Higher capital floors coming

ASIC minimum capital requirements for fund operators are going up. The regulator has made ASIC Corporations (Amendment) Instrument 2026/708, which raises the minimum net tangible assets (NTA) requirement that certain fund operators must meet. The change covers three groups: responsible entities of registered managed investment schemes, operators of investor directed portfolio services (IDPS), and corporate directors of retail corporate collective investment vehicles (CCIVs). The higher thresholds apply from 1 July 2027.

The instrument puts into effect a policy ASIC announced in July 2026. It amends ASIC Corporations (Financial Requirements for Responsible Entities, IDPS Operators and Corporate Directors of Retail CCIVs) Instrument 2023/647, which sets out the financial requirements, including the NTA requirement, for these entities.

Why ASIC minimum capital requirements are rising

The minimum financial thresholds in the NTA requirement haven’t been updated since 2013. The increase is meant to make up for inflation over that period. From then on, the thresholds will be adjusted every year to keep pace with inflation. In other words, ASIC minimum capital requirements will no longer sit at a fixed dollar figure for years at a time but will track rising prices.

What firms should watch

From 2027, ASIC will publish the updated thresholds on its website each year, once the relevant inflation data is available. As the figures will change annually, firms in these three groups should keep an eye on ASIC’s published thresholds so they know exactly what the updated ASIC minimum capital requirements mean for them

ASIC has also updated Regulatory Guide 166 AFS licensing: Financial requirements (RG 166) to reflect the upcoming changes.
